General Terms and Conditions (GTC) of the TUM Job Portal

(1) SCOPE OF APPLICATION
These General Terms and Conditions (GTC) apply to all current and future business relationships of the Technical University of Munich, Alumni & Career (hereinafter referred to as TUM/A&C) and supersede the terms and conditions applicable prior to June 1, 2017. TUM/A&C reserves the right to change the GTC at any time. Customers will be informed of any changes. The current version can be viewed and printed at any time at the following URL: https://jobportal.community.tum.de/agb. Any changes and additions become valid upon publication on this website. The version of the GTC valid at the time of conclusion of the contract is authoritative.
(2) CONCLUSION OF CONTRACT
(2.1) Customers within the meaning of the Terms and Conditions are natural or legal persons or partnerships with legal capacity with whom TUM/A&C enters into a business relationship.
(2.2) Customers who wish to use or book a service from TUM/A&C for the first time must register in advance. Registration is free of charge and can be completed using the online form at www.tum.de/jobboerse. The customer is obliged to provide complete and truthful information in the registration form. The customer must update any changes to the information themselves without delay or, if this is not technically possible, notify TUM/A&C immediately.
(2.3) Certain services provided by TUM/A&C, which are indicated separately, may be offered free of charge or at a reduced cost under defined conditions. When registering or booking, the customer must expressly confirm that they meet the respective conditions. This confirmation is considered a binding assurance. If a customer knowingly or negligently provides false information during registration or booking regarding the conditions for a free or reduced-price service, on the basis of which TUM/A&C provides a service, TUM/A&C is entitled to subsequently invoice the customer for the service provided in accordance with the currently valid price list. Payment must be made within the specified period. In the event of non-payment, TUM/A&C reserves the right to permanently or temporarily exclude the company in question from further use of the services offered. (2.4) By booking via the online booking tool, the customer declares that they wish to submit a binding offer. A contract is concluded when TUM/A&C confirms the order within 4 weeks by email or post, or when the order is executed.
(2.5) TUM/A&C reserves the right to reject orders by email or post on the basis of their content, origin, or technical form, in accordance with uniform, objectively justified principles of the Technical University of Munich, if their content violates the law or official regulations, is abusive, or if their publication is unreasonable for the university for other reasons.
(3) PRICES/INVOICING
(3.1) All prices are exclusive of the applicable statutory value added tax.
(3.2) Invoices will be issued immediately after conclusion of the contract by email or post.
(3.3) Payment must be made without deductions within 14 days of receipt of the invoice. For payments from abroad, the payment period is 30 days after receipt of the invoice, i.e., the full invoice amount must be credited to our account no later than 30 days after receipt of the invoice. Any transfer fees incurred are to be borne by the customer.(3.4) Payments can only be made by bank transfer to a bank account specified by TUM/A&C.
(3.5) TUM/A&C will provide the service after receipt of payment from the customer or, alternatively, after successful upload of valid proof of payment using the function provided for this purpose on our website (www.tum.de/jobboerse). TUM/A&C reserves the right to verify the authenticity of the proof of payment and to provide the service only after successful verification.
(4) TERMINATION OF THE CONTRACT
The contract ends upon expiry of the agreed term for the respective service.
(5) RESPONSIBILITY FOR CONTENT AND LIABILITY
(5.1) The customer is responsible for the content provided by them, including text and image documents, for the service they use or book, in particular for its accuracy and legal admissibility, as well as for the content of any websites linked to it. The customer grants TUM/A&C permission to use its logo within the scope of the offer. In particular, the customer undertakes to comply with the mandatory provisions of the General Equal Treatment Act (AGG) in its currently valid version.
(5.2.) TUM/A&C accepts no liability for the content provided by the customer, including text and image documents. TUM/A&C is not obliged to check the content for any infringement of third-party rights. Customers guarantee that the content they provide, including text and image documents, is free from third-party rights.
(5.3.) Customers shall indemnify TUM/A&C against all claims, including claims for damages, asserted against TUM/A&C by third parties due to an infringement of their rights by the content provided by customers, including text and image documents. Customers shall bear all reasonable costs incurred by TUM/A&C as a result of an infringement of third-party rights, including reasonable costs incurred for legal defense. These obligations of customers shall not apply if the customers are not responsible for the infringement in question.
(5.4) TUM/A&C reserves the right to remove previously published service elements if the content to be published violates legal requirements, third-party rights, public law regulations, the General Terms and Conditions, or public decency, or if publication is unreasonable for us for other reasons. In such cases, TUM/A&C is entitled to delete this content from its offer without prior warning to the client. This does not justify a claim for reimbursement by the customer.
(5.5) The customer is responsible for the complete delivery of flawless, suitable material required for the performance of the booked service in accordance with the specifications provided to the customer by TUM/A&C after booking the offer.
(5.6) TUM/A&C shall not be held responsible for delays caused by the customer.
(5.7) Once commissioned, bookings are binding and cannot be terminated prematurely. Even if the offer is to be deleted prematurely upon request, the full remuneration must be paid. The right to extraordinary termination remains unaffected.
(5.8) TUM/A&C is authorized to terminate the contract without notice at any time if the customer fails to fulfill their obligations arising from the contract and the offer descriptions after a grace period has been set.
(5.9) The customer is prohibited from engaging in or promoting anti-competitive activities, including progressive customer acquisition (such as chain, snowball, or pyramid schemes). Furthermore, TUM/A&C reserves the right to delete advertisements in which applicants are required to make advance payments or financial investments of their own, or in which the income of the individual applicant depends on their own sales volume and that of the sales representatives they recruit (multi-level marketing), without any entitlement to reimbursement.
(6) AVAILABILITY OF THE TUM/A&C WEBSITES
(6.1) In the case of online services, TUM/A&C will endeavor to offer the booked service without interruption as far as possible. However, despite all due care, downtime cannot be ruled out.
(6.2) Lack of availability and changes to the TUM website do not entitle the customer to a price reduction or withdrawal from the contract, provided that the customers interests are not unreasonably affected by this.
(6.3) TUM/A&C reserves the right to change or discontinue its offer at any time, provided that this is reasonable for the customer, taking into account their interests. If TUM/A&C discontinues the service in accordance with the above sentence 1, the customer will be reimbursed for services already paid for but not yet received.
(7) DATA PROTECTION
(7.1) The customers data transmitted to TUM/A&C will be collected, processed, and used in compliance with applicable data protection laws (see also the data protection declaration agreed with the customer during registration at https://jobportal.community.tum.de/datenschutz).
(7.2) If the customer receives a password from TUM/A&C during registration, they undertake to protect the password from unauthorized access by third parties and to inform TUM/A&C immediately in writing if the password is lost so that it can be blocked.
(7.3) When visiting the TUM/A&C websites, information about the access (date, time, page viewed) may be stored on the server. This data is not personal data, but is anonymized. It is evaluated exclusively for statistical purposes, for advertising measures, and to demonstrate the response to individual services. It is not passed on to third parties for commercial or non-commercial purposes.
(7.4) Furthermore, data may be stored on the website user's computer. This data is referred to as “cookies,” which serve to simplify the user's access behavior. However, users have the option of deactivating this function within their respective web browser. In this case, however, the usability of the TUM/A&C website may be restricted.
(7.5) TUM/A&C expressly points out that data transmission over the Internet (e.g., when communicating by email) may be subject to security vulnerabilities and cannot be completely protected against access by third parties.
(8) LIABILITY
(8.1) TUM/A&C guarantees that it will exercise the usual care and apply the latest scientific and technical knowledge available to it.
(8.2.) TUM/A&C, its legal representatives, and vicarious agents shall be liable for the breach of essential contractual obligations, i.e., obligations that enable the proper execution of the contract in the first place and on whose compliance customers may regularly rely, for intent and any negligence, but in the case of simple negligence, limited to the foreseeable damage typical for this type of contract.
(8.3.) Otherwise, TUM/A&C, its legal representatives, and vicarious agents shall only be liable for damages caused by intent or gross negligence. In the event of gross negligence, liability shall be limited to the amount of the order.
(8.4.) TUM/A&Cs liability pursuant to paragraph (8.3.) for indirect damages and consequential damages is excluded in cases of gross negligence. (8.5) The limitations and exclusions of liability in the preceding paragraphs (8.2. – 8.4.) do not apply to claims under the Product Liability Act, claims due to fraudulent conduct by a contractual partner, claims arising from liability for guaranteed procurement characteristics, and claims for damages resulting from injury to life, limb, or health.(9) LEGAL VALIDITY
(9.1) Should parts or individual formulations of this text not, no longer, or not completely correspond to the applicable legal situation, the remaining parts of the document shall remain unaffected in their content and validity.
(9.2) Subsidiary agreements or agreements deviating from these General Terms and Conditions must be made in writing. This formal requirement can only be waived in writing.
(9.3) All legal relationships between the contracting parties shall be governed exclusively by the laws of the Federal Republic of Germany, excluding conflict of law provisions.
(9.4) The place of performance and jurisdiction is Munich.
(10) COPYRIGHT / RIGHTS OF USE
The copyright for the posted content remains with the respective customer. The customer grants TUM/A&C the right to permanently store the content in the TUM Job and Internship Exchange for retrieval and to make it accessible there. TUM/A&C has the right to move or delete posts within the website.
(11) MISCELLANEOUS
The German-language version of the General Terms and Conditions is legally binding.
